The transaction is expected to close in the second half of 2025, after which AGS will be a private company, and shares of AGS common stock will no longer be listed on any public market.

The final voting results of the special meeting will be reported on a Form 8-K filed by AGS with the U.S. Securities and Exchange Commission

Sega Sammy Hails iGaming Sales

Japan-based supplier Sega Sammy Holdings reported a return to profit after strong sales by its recently formed gaming business.

The company reported  consolidated sales of JPY104.8 billion ($780.7 million), down 3.2 percent year-on-year. Operating income was down 15 percent to JPY19.3 billion due mainly to a decline in the entertainment or computer games segment. Sega Sammy created three new businesses:
– A new gaming business comprising Sega Sammy Creation which develops, manufactures, and distributes gaming machines;

  • Paradise Sega Sammy, which is a joint venture with Korea’s Paradise Co. that operates the Paradise City integrated resort in Incheon; and
  • An iGaming arm that is the product of the 2023 acquisition of GAN Limited, which operates a B2B platform business mainly for U.S. casino operators.
